1. Acceptance of Terms

By accessing and using Homicity's services (the "Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Homicity ("Company," "we," "us," or "our") concerning your access to and use of our website, applications, and services.

2. Description of Service

Homicity provides a SaaS platform that delivers location intelligence, property data, building permits, and related real estate information services. Our Service includes but is not limited to:

• Canadian property and location data
• Building permit search and tracking
• Real estate intelligence and analytics
• Location reports and business listings
• Commercial and residential property search

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts and Registration

To access certain features of the Service, you may be required to register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account

You may not use another person's account without permission. We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others
• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• Submit false or misleading information
• Upload or transmit viruses or any other type of malicious code
• Spam, phish, or engage in other unsolicited communication
• Interfere with, disrupt, or create an undue burden on the Service or networks connected to the Service
• Attempt to bypass any security measures or access unauthorized areas
• Scrape or data mine without express written consent

We reserve the right to investigate and prosecute violations of any of the above to the fullest extent of the law.

5. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Homicity and its licensors. The Service is protected by copyright, trademark, and other laws of both Canada and foreign countries.

Our trademarks, service marks, logos, and trade dress may not be used in connection with any product or service without the prior written consent of Homicity.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms.

6. User Content and Data

You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service to you.

You represent and warrant that:

• You own or have the necessary rights to submit the User Content
• The User Content does not violate any third-party rights
• The User Content does not violate any applicable laws

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable at our sole discretion.

7. Payment and Billing

Certain features of the Service may require payment of fees. You agree to provide current, complete, and accurate billing information. You further agree to promptly update your account information with any changes.

All fees are quoted in Canadian dollars unless otherwise stated. Fees are non-refundable except as required by law or as explicitly stated in your subscription agreement.

We reserve the right to change our fees at any time. If we change our fees, we will provide you with advance notice. Your continued use of the Service after the fee change constitutes your agreement to pay the modified fees.

Failure to pay applicable fees may result in suspension or termination of your access to the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no warranty that:

• The Service will meet your requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Service will be accurate or reliable
• Any errors in the Service will be corrected

Any material downloaded or otherwise obtained through the use of the Service is accessed at your own discretion and risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOMICITY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

It is your responsibility to review these Terms periodically for changes.
